J. Terry Dewberry

Vice Chairman of Healthdyne, Inc.

J. Terry Dewberry has served as a director of the Company since May 2006. Mr. Dewberry is a private investor and formerly served as Vice Chairman of Healthdyne, Inc. from March 1992 until the formation of the Company through the merger of Healthdyne Maternity Management, a division of Healthdyne, Inc., and Tokos Medical Corporation in 1996. Mr. Dewberry served as a director of Healthdyne, Inc. from 1981 until the Merger.

From September 1987 until March 1992 he was President and Chief Operating Officer of Healthdyne and was Executive Vice President of Healthdyne, Inc. from August 1984 to September 1987. Mr. Dewberry is a member of the Board of Directors of Respironics, Inc.
